As a vendor on Ecomm Shop, you agree to the following terms and conditions:
1. Eligibility: To be eligible to sell on Ecomm Shop, you must be a legal entity or individual with the right and capacity to enter into a contract, have a valid and active business or vendor license, have a valid and working payment method for receiving payments from customers, have a valid and working email address and phone number for communication with Ecomm Shop, and be able to provide high-quality products or services that meet our standards.
2. Vendor Registration and Account: To become a vendor on Ecomm Shop, you must first register and create a vendor account. You are responsible for maintaining the security and confidentiality of your account and password, and for ensuring that the information provided to Ecomm Shop is accurate and up-to-date.
3. Product Listing and Pricing: As a vendor on Ecomm Shop, you are responsible for listing and managing your products and services on our platform. You must provide detailed and accurate information about your products and services, and may not list a product or service with a price that is significantly different from its market value. Ecomm Shop reserves the right to remove any product or service that violates our policies or is otherwise deemed inappropriate for sale on our platform.
4. Orders and Fulfillment: As a vendor on Ecomm Shop, you are responsible for fulfilling orders placed by customers through our platform. You must confirm or reject an order within 24 hours of receipt, and must ship the product or provide the service within the agreed-upon time frame. You must provide accurate tracking information and keep the customer informed of the status of their order. If you are unable to fulfill an order for any reason, you must notify Ecomm Shop and the customer immediately.
5. Payments and Fees: Ecomm Shop will collect the payment for the products and services sold through our platform on behalf of the vendors. We will deduct our commission and any applicable taxes before remitting the remaining amount to the vendors. The commission rate and payment terms will be agreed upon by the vendor and Ecomm Shop at the time of registration, and we reserve the right to modify these terms at our sole discretion. The vendors are responsible for any fees or charges imposed by their payment providers.
6. Intellectual Property: As a vendor on Ecomm Shop, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the images and content provided by you in connection with your products and services on our platform. You retain all intellectual property rights in and to your products.
7. Warranties and Indemnification: You warrant that your products do not infringe upon any third-party intellectual property rights and that they comply with all applicable laws and regulations. You shall indemnify, defend, and hold harmless Ecomm Shop and its affiliates, officers, directors, and employees from and against any and all claims, damages, liabilities, costs, and expenses arising out of or in connection with your breach of this warranty.
8. Confidentiality: You shall maintain the confidentiality of all non-public information disclosed by Ecomm Shop in connection with this agreement. This obligation shall survive the termination of this agreement and shall not apply to information that is publicly known or becomes publicly known through no fault of the receiving party.
9. Governing Law and Dispute Resolution: This agreement shall be governed by and construed in accordance with the laws of the Philippines. Any disputes arising out of or in connection with this agreement shall be resolved through amicable negotiation between the parties. If the parties are unable to resolve the dispute through negotiation, they agree to submit the dispute to arbitration in accordance with the rules of the Philippines.
